A G R E E M E N T


THIS AGREEMENT is dated __________ and is made BETWEEN Cotton County Retail Ltd formerly known as Nahar Retail Ltd., a company incorporated under the provisions of the Companies Act, 1956 and having its Registered Office at Focal Point Ludhiana, Punjab (hereinafter referred to as the COMPANY or the PARTY OF THE FIRST PART) which expression shall include its successors, assigns, heirs etc; and M/S ____________________________. (Hereinafter called as BUYER or the PARTY OF THE SECOND PART) which expression shall include its successors, assigns, heirs etc. MR.____________ is duly authorized signatory of the BUYER.

WHEREAS the COMPANY has developed the brand name Cotton County and established a reputation for the range of readymade garments sold under the said brand name as a business of great distinction.

AND WHEREAS the COMPANY is the proprietor of the trade mark Cotton County, which is associated with high standards of quality of workmanship, throughout India and internationally.

AND WHEREAS the buyer has approached the COMPANY and has expressed its desire to exclusively retail deal in and retail the range of readymade garments sold under the brand name Cotton County.

AND WHEREAS the COMPANY is desirous of appointing a party to exclusively deal in and retail the Cotton County range of readymade garments in the Territory ________________.

IT IS THEREFORE NOW AGREED THAT:

1. THE COMPANY SHALL APPOINT THE BUYER AS AN EXCLUSIVE DEALER/RETAILER OF ITS RANGE OF READYMADE GARMENTS SOLD UNDER THE BRAND NAME COTTON COUNTY IN THE TERRITORY ____________.

2. THE BUYER, ON ITS PART, SHALL ARRANGE FURNISHED PREMISES AT ITS OWN EXPENSE AND STRICTLY IN ACCORDANCE WITH THE DESIGN AND SPECIFICATION OF THE COMPANY FOR RUNNING THE EXCLUSIVE BRANDED RETAIL OUTLET/SHOWROOM OF THE RANGE OF READYMADE GARMENTS SOLD UNDER THE BRAND NAME COTTON COUNTY.

3. THE ENTIRE EXPENSES OF THE FURNISHING THE INTERIORS OF THE RETAIL OUTLET/SHOWROOM AS PER THE SPECIFICATIONS OF THE COMPANY SHALL BE BORNE BY THE BUYER.

4. THE COMPANY SHALL PROVIDE THE MAIN SHOP SIGNAGE AND IN SHOP BRANDING FOR THE RETAIL OUTLET/SHOWROOM.

5. THE ENTIRE RUNNING EXPENSES OF THE EXCLUSIVE BRANDED RETAIL OUTLET/SHOWROOM OF THE RANGE OF READYMADE GARMENTS SOLD UNDER THE BRAND NAME COTTON COUNTY SHALL BE BORNE SOLELY, WHOLLY AND EXCLUSIVELY BY THE BUYER.

6. THE BUYER SHALL AT ITS OWN COST AND EXPENSE EMPLOY THE SERVICES OF SUCH NUMBER OF SUITABLE PERSONNEL AS MAY BE CONSIDERED NECESSARY BY THE COMPANY (WHICH SHALL NOT BE LESS THAN ONE PERSON FOR EVERY 200 SQ. FEET OF SHOWROOM SPACE) FOR THE PURPOSES OF MAINTAINING THE SHOWROOM, DISPLAYING AND MARKETING THE RANGE OF READYMADE GARMENTS SOLD UNDER THE BRAND NAME COTTON COUNTY AND FOR PROVIDING SUCH OTHER SERVICES AS ARE NECESSARY, INCIDENTAL AND ANCILLARY THERETO.









7. THE BUYER WILL HAVE TO FURNISH AN IRREVOCABLE BANK GUARANTEE OF A NATIONALIZED BANK / REPUTED PRIVATE BANK AS SECURITY FOR A SUM EQUAL TO THE VALUE OF THE STOCKS TO BE KEPT IN THE SHOWROOM AND THE CREDIT LIMIT OF THE BUYER WILL BE EQUAL TO THE AMOUNT OF THE BANK GUARANTEE FURNISHED BY IT.

8. THE DURATION OF THIS AGREEMENT WILL BE COTERMINOUS WITH THE DURATION OF THE BANK GUARANTEE. IN THE EVENT OF THE FAILURE OF THE BUYER TO TAKE STEPS TO RENEW THE BANK GUARANTEE ONE MONTH BEFORE ITS EXPIRY, THE COMPANY SHALL BE ENTITLED TO INVOKE THE SAME.

9. THAT FURTHER, THE SAID BANK GUARANTEE CAN BE INVOKED AT ANY TIME BY THE COMPANY FOR ANY VIOLATION WHATSOEVER OF THIS AGREEMENT. THE INVOCATION OF THE BANK GUARANTEE WILL BE WHOLLY WITHOUT PREJUDICE TO THE RIGHT OF THE COMPANY TO TERMINATE THIS AGREEMENT FOR ANY VIOLATION THEREOF.

10. THE LOCK-IN-PERIOD OF THIS AGREEMENT IS THREE YEARS FOR THE BUYER ONLY.

11. THE COMPANY WILL SUPPLY ITS RANGE OF READYMADE GARMENTS SOLD UNDER THE BRAND NAME COTTON COUNTY TO THE BUYER ON A SIMPLE SALE AND PURCHASE BASIS AND WILL RAISE AND INVOICE FOR THE SAME ON THE BUYER. THE FOLLOWING TERMS AND CONDITIONS WILL BE STRICTLY ADHERED TO BY BOTH THE PARTIES: -

THE BUYER WILL SEND THE DAILY SALE DATA TO THE COMPANY THROUGH FAX OR INTERNET IN THE FORMAT PRESCRIBED IN THIS AGREEMENT. IN CASE SUCH DATA IS NOT RECEIVED FOR TWO SUCCESSIVE DAYS, THE DISPATCH OF GARMENTS TO THE BUYER SHALL BE SUSPENDED TILL THE COMPLETE DATA IS RECEIVED.

FREIGHT AND TRANSIT INSURANCE OF THE GOODS SENT TO THE BUYER SHALL BE BORNE BY THE COMPANY.

INSURANCE AT THE SHOWROOM SHALL BE BORNE BY THE BUYER ALONE.

OCTROI OR ANY OTHER TAX EXPENSE LEGALLY APPLICABLE TO THE TRANSIT OF THE GOODS SHALL BE INITIALLY PAID BY THE BUYER AND THEREAFTER RE-IMBURSED BY THE COMPANY TO THE BUYER UPON THE FURNISHING OF ORIGINAL RECEIPTS EVIDENCING SUCH PAYMENT BY THE BUYER.

SALES TAX IN THE FORM OF L.S.T., V.A.T. AND C.S.T. SHALL BE BORNE BY THE COMPANY AND SHALL BE PROVIDED FOR IN THE INVOICE RAISED BY THE COMPANY.

THE BUYER SHALL SUBMIT ALL THE NECESSARY 'C' FORMS ON QUARTERLY BASIS FAILING WHICH THE DIFFERENTIAL AMOUNT OF SALES TAX ALONG WITH THE PENALTY LEVIED BY THE GOVERNMENT AUTHORITY SHALL BE DEBITED/ RECOVERED FROM THE ACCOUNT OF BUYER WITHOUT ANY INTIMATION.

DISCOUNT/TRADE DISCOUNT EQUAL TO _____% SHALL BE ALLOWED ON THE DISCOUNTED ITEMS AND SHALL BE PROVIDED FOR IN THE INVOICE RAISED BY THE COMPANY.

THE BUYER WILL ENSURE COMPLIANCE OF ALL LOCAL/MUNICIPAL/FISCAL/LABOUR LAWS AS ALSO ALL STATE AND CENTRAL STATUTES RELATING TO THE FUNCTIONING OF THE OUTLET AND THE COMPANY WILL NOT IN ANYWAY BE RESPONSIBLE FOR THE CONDUCT OF THE BUYER OR ITS EMPLOYEES TOWARDS THIRD PARTIES INCLUDING ANY GOVERNMENT/ GOVERNMENT AGENCY/ BODY/AUTHORITY BY WHATSOEVER NAME CALLED.

THE BUYER UNDERTAKES TO INDEMNIFY THE COMPANY AGAINST ANY LOSSES/ CLAIMS/LITIGATION CAUSED DUE TO ANY ACT OR OMISSION, INCLUDING VIOLATION OF ANY APPLICABLE LAW, ON THE PART OF THE BUYER OR ITS EMPLOYEES ARISING OUT OF OR IN CONNECTION WITH THEIR CONDUCT TOWARDS THIRD PARTIES, INCLUDING ANY GOVERNMENT/ GOVERNMENT AGENCY/ BODY/AUTHORITY BY WHATSOEVER NAME CALLED.









THE BUYER SHALL NOT SELL THE GOODS AT A PRICE HIGHER THAN THE MAXIMUM RETAIL PRICE DECLARED ON THE SAID GOODS.

THE PARTY OF SECOND PART WILL NOT USE MONTE CARLO NAME OR LOGO IN ANY KIND OF ADVERTISEMENT IN ANY FORM WHATSOEVER. IF FOUND ANYTIME USING THE SAME, THE COMPANY WILL IMPOSE A FINE OF RS. 5 LAC AND MAY CANCEL THE SHOWROOM ALSO.

THE SECOND PARTY SHALL NOT AT ANY TIME-RELEASE ADVERTISEMENTS IN NEWSPAPERS OR OTHER PUBLICATIONS, BROCHURES, PAMPHLETS, DIRECT MAIL, ETC OR UNDERTAKE ANY OTHER FORM OF SALES PROMOTION IN THE NAME OF OR ON BEHALF OF THE COMPANY EXCEPT IN THE FORM AND MANNER APPROVED BY THE COMPANY IN WRITING.

DISCOUNTS / CLEARANCE SALES WILL BE ALLOWED TO CUSTOMERS FROM TIME TO TIME WITH INSTRUCTIONS/POLICIES OF THE PARTY OF THE FIRST PART.

THAT THE PARTY OF THE SECOND PART IN ANY PART OF THE STATE WILL MAKE NO SALES OF STOCK TO DEALERS/ WHOLE SELLERS.

THAT THE PARTY OF THE SECOND PART SHALL OPEN THE COTTON COUNTY BRAND SHOW ROOM IN ALL 7 DAYS OF THE WEEK, EXCEPT IF WEEKLY OFF IS LEGALY REQUIRED.

ALL THE DISCOUNT SCHEMES AND OFFERS WILL BE DECIDED BY THE COMPANY ONLY FROM TIME TO TIME IN WRITING.

THE BUYER WILL DEPOSIT THE DAILY PAYMENT COLLECTIONS IN THE COMPANY’S CMS OR CURRENT ACCOUNT AT ___________ ON DAILY BASIS, IF THE SAID FACILITY OR COMPANY’S DESIGNATED BANKS ARE NOT PRESENT IN THE CITY OF 2ND PART THEN ONLY PAYMENT SHALL BE SENT TO LUDHIANA BY WAY OF DEMAND DRAFT PAYABLE AT LUDHIANA. AND D.D. CHARGES, IF ANY SHALL BE TO THE COMPANY’S ACCOUNT. THE COMPANY WILL CHARGE INTEREST @ 24% P.A ON LATE PAYMENTS. THE INTEREST AMOUNT WILL BE DIRECTLY DEBITED TO THE 2ND PARTY’S ACCOUNT.

IN CASE EITHER OF THE PARTY WANTS TO STOP THE WORKING THEN THE COMPANY’S GOODS AT THE SHOWROOM WILL BE PURCHASED BACK BY THE COMPANY AT THE PRICE CHARGED BY THE COMPANY.30 DAYS PRIOR NOTICE IS REQUIRED IN CASE THE BUYER WANT TO CLOSE THE SHOWROOM.

THE WORKING WILL BE ON SIMPLE SALE PURCHASE BASIS AND CREDIT NOTES WILL BE ISSUED IN CASE OF ANY GOODS RETURN ON THE BASIS OF DEBIT NOTE RAISED BY THE PARTY OF 2ND PART AND SENT WITH THE RETURN DOCUMENTS AS PER THE PERFORMA BEING GIVEN BY THE COMPANY.

THE PARTY OF THE 2ND PART SHALL BE RESPONSIBLE FOR ALL TYPE OF PAYMENTS OF LOCAL TAXES AND FOR THE ACT & CONDUCT OF THE EMPLOYED PERSONS. THE FIRST PARTY SHALL NOT BE LIABLE OR RESPONSIBLE IN ANY FORM, FOR THE VIOLATION OF ANY RULE & LAWS OF STATE AS WELL AS CENTER GOVERNMENT, REGARDING THIS RETAIL OUTLET.

IF DURING THE STOCK AUDIT ANY DIFFERENCE IS FOUND INTEREST @ 24% P.A. WILL BE CHARGED ON THE DIFFERENCE AMOUNT FROM THE DATE OF OPENING OR FROM THE DATE OF LAST AUDIT.

IF DURING THE STOCK AUDIT ANY DIFFERENCES REGARDING PHYSICAL COUNTING/ SCANNING OF GOODS/ MATERIEL LYING IN THE STORE AND BOOK STOCK AS PER SOFTWARE, DEBIT NOTE WOULD BE RAISED FOR THE DIFFERENCE QUANTITY AT THE PREVAILING DISCOUNT SCHEMES ON THE DATE OF AUDIT OR LESSER DISCOUNT OFFERED DURING THE MONTH WHICHEVER IS LOWER.

ANY KIND OF EXPENDITURE ON COMPANY’S BEHALF HAS TO BE DONE ONLY AFTER WRITTEN APPROVAL FROM AUTHORIZED SIGNATORY.

ALL PAYMENTS TO BE MADE ONLY THROUGH DEMAND DRAFT AND CHEQUE IN FAVOUR OF THE COMPANY. NO CASH PAYMENT SHALL BE MADE.










THE PARTY OF THE SECOND PART SHALL SUBMIT ALL CLAIMS WITHIN ONE MONTH OF THE PAYMENT/ OCCURRENCE OF THE SAME AND OBTAIN THE RECEIVING OF THE SAME FALLING NO CLAIM SHALL BE ENTERTAINED AFTER THAT PERIOD.

THE PARTY OF THE SECOND PART SHALL SEND RECEIPT OF GOODS RECEIVED ON MONTHLY BASIS, SHOWING INVOICE NO: DATE, INVOICE QUANTITY, RECEIPT QUANTITY, SHORTAGE/ EXCESSES, CLAIMS FOR SHORTAGES HAS TO SUBMIT WITHIN TEN DAYS FROM THE RECEIPT OF GOODS. AFTER THAT NO CLAIM WILL BE ENTERTAINED.

12. ALL DISPUTES, DIFFERENCES AND CLAIMS ARISING OUT OF AND IN CONNECTION WITH THE AGREEMENT SHALL BE RESOLVED BY RECOURSE TO THE PROVISIONS OF THE ARBITRATION AND CONCILIATION ACT, 1996. THE VENUE OF THE ARBITRATION SHALL BE AT LUDHIANA.

13. THAT DURING THE SUBSISTENCE OF THIS AGREEMENT, THE BUYER SHALL NOT DEAL IN ANY PRODUCT OF A COMPETITIVE NATURE.

14. THAT THIS AGREEMENT CONSTITUTES THE ENTIRE AGREEMENT BETWEEN THE PARTIES AND SUPERSEDES ANY NEGOTIATIONS OR PRIOR UNDERSTANDINGS OR AGREEMENTS BETWEEN THE PARTIES IN RESPECT OF THIS SUBJECT MATTER.

15. THE WHOLE OF THE NEGOTIATIONS AND INTENTIONS OF THE PARTIES HAVE BEEN INCLUDED IN THIS AGREEMENT AND ACCURATELY EXPRESS THE REQUIREMENTS OF THE PARTIES.

16. BOTH PARTIES CONFIRM THAT THEY RELIED UPON NO WARRANTIES, REPRESENTATIONS OR OTHER MATTERS, CAUSING THEM TO SIGN THIS AGREEMENT, WHICH HAVE NOT BEEN SATISFIED IN IT.
17. THIS AGREEMENT SHALL NOT BE MODIFIED IN ANYWAY EXCEPT BY WAY OF A WRITTEN INSTRUMENT SIGNED BY BOTH THE PARTIES.

18. THE BUYER UNDERTAKES NOT TO ACT IN MANNER, WHICH WILL TARNISH THE REPUTATION, CORPORATE IMAGE OR BRAND NAME OF THE COMPANY.

19. INCASE, PARTY OF THE SECOND PART WANTS TO CLOSE THE SHOWROOM BEFORE THREE YEARS OF OPENING THE WHOLE OF BRANDING EXPENSES BORNE BY PARTY OF 1ST PART WOULD BE CHARGED TO PARTY OF THE 2ND PART.

8. GOODS RETURN FORMAT


For speedy clearance of goods return activity following requirements must be fulfilled:-

1. No goods/garments shall be sent without M.R.P. tags.

2. All the garments should be properly packed in P.P. Bags.

3. Defective garments to be separately packed and sent separately.

4. First, properly printed debit note (as per the attached format) should be sent and only after signed approval of the same, the goods shall be sent back.

5. The company will arrange to pick up the goods from your store. No dispatches should be made through unapproved transporter.

6. Separate detail is required for the goods despatch in NIEL & NRL.

2. AGREEMENT FORMAT


COTTON COUNTY EXCLUSIVE FACTORY OUTLET


THIS AGREEMENT is made on __________between M/s Nahar Retail Ltd. Premises, M/s. Nahar Industrial Enterprises Limited, Garment Unit, Registered Office at Focal Point, Ludhiana (Punjab), a company registered under the India Companies Act (herein after called as the company and party of the First party) and M/s _____________________(hereinafter called as buyer to deal exclusively company’s products and called party of the Second part) which expression shall include its successors, assigns, heirs etc.

WHEREAS the Company is desirous of appointing some party as Exclusive Factory Outlet for their products i.e. Cotton County RANGE OF READYMADE GARMENTS only to be marketed in _________, whereas the party of the 2nd part as above, have approached the Company for appointing them as their exclusive buyer for __________ as mutually decided.

AND WHEREAS the Company has offered to appoint M/s. ________________________, _____________ as its exclusive buyer on the terms and conditions which are mutually agreed upon by both the parties to this Agreement and they now produce in this agreement as under :-


TERMS AND CONDITIONS:-


1. THE PARTY OF THE 2ND PART WILL HAVE TO FURNISH A BANK GUARANTEE/SECURITY OF THE SUM EQUAL TO THE VALUE OF THE STOCKS TO BE KEPT IN THE SHOWROOM.

2. DISCOUNT/TRADE DISCOUNT EQUAL TO 15% SHALL BE ALLOWED ON DISCOUNTED ITEMS AND 25% ON THE NON DISCOUNTED ITEMS. THE SAME SHALL BE ALLOWED IN THE INVOICE RAISED BY THE COMPANY.

3. THE SALES TAX (L.S.T., C.S.T.) WILL BE BORNE BY THE COMPANY. IT SHALL BE ALLOWED IN THE SALE INVOICE ITSELF.

4. FREIGHT, TRANSIT INSURANCE SHALL BE BORNE BY THE COMPANY. INSURANCE AT SHOWROOM SHALL BE BORNE BY BUYER ONLY. OCTROI SHALL BE REIMBURSED BY THE COMPANY ON THE BASIS OF ORIGINAL OCTROI RECEIPTS SUBMITTED TO THE COMPANY BY PARTY OF THE 2ND PART.

5. THE RUNNING EXPENSES OF THE SHOWROOM WILL BE ENTIRELY BORN BY THE PARTY OF THE 2ND PART.

6. THE PARTY OF SECOND PART WILL NOT USE MONTE CARLO NAME OR LOGO IN ANY KIND OF ADVERTISEMENT IN ANY FORM WHATSOEVER. IF FOUND ANYTIME USING THE SAME , THE COMPANY WILL IMPOSE A FINE OF RS. 5 LAC AND MAY CANCEL THE SHOWROOM ALSO.

7. THE PARTY OF 2ND PART WILL HAVE TO SEND THE SALE DATA ON DAILY BASIS TO THE COMPANY EITHER THROUGH INTERNET OR FAX ,AS PER THE FORMAT GIVEN BY THE COMPANY. IN CASE, THE DATA IS NOT RECEIVED CONTINUOUSLY FOR 2 DAYS THE DISPATCH TO THE PARTY OF 2ND PART WILL NOT BE MADE TILL THE DATA IS RECEIVED BY THE COMPANY.

8. THE PARTY OF 2ND PART WILL NOT KEEP OR SELL ANY OTHER BRAND EXCEPT THE BRANDS PROVIDED BY THE COMPANY . IN CASE THE PARTY OF 2ND PART IS FOUND KEEPING OR SELLING ANY OTHER BRAND THE COMPANY WILL HAVE THE RIGHT TO CANCEL THE SHOWROOM AND IMPOSE A FINE OF RS.5 LAC.

9. ALL THE DISCOUNT SCHEMES AND OFFERS WILL BE DECIDED BY THE COMPANY ONLY FROM TIME TO TIME IN WRITING.

10. THE BUYER WILL DEPOSIT THE DAILY PAYMENT COLLECTIONS IN THE COMPANY’S ACCOUNT AT ___________ON DAILY BASIS OTHERWISE PAYMENT SHALL BE SENT TO LUDHIANA BY WAY OF DEMAND DRAFT PAYABLE AT LUDHIANA. D.D. CHARGES, IF ANY SHALL BE TO THE COMPANY’S ACCOUNT. THE COMPANY WILL CHARGE INTEREST @ 24% P.A ON LATE PAYMENTS. THE INTEREST AMOUNT WILL BE DIRECTLY DEBIT TO THE 2ND PARTY’S ACCOUNT.

11. THE CREDIT LIMIT OF THE PARTY OF THE 2ND PART WILL BE EQUAL TO THE AMOUNT OF BANK GUARANTEE FURNISHED BY IT.

12. ALL THE COST OF THE INTERIORS WILL BE BORNE BY THE PARTY OF THE 2ND PART.

13. THE COMPANY WILL PROVIDE THE MAIN SHOP SIGNAGE AND IN-SHOP BRANDING FOR THE SHOWROOM.

14. THE COMPANY WILL OPEN ANY OTHER FACTORY OUTLET OF COTTON COUNTY IN THE RESPECTIVE AREA ONLY AFTER PRIOR CONSULTATION AND WITH MUTUAL CONSENT OF THE PARTY OF THE 2ND PART.

15. IN CASE EITHER OF THE PARTY WANTS TO STOP THE WORKING THEN THE COMPANY’S GOODS AT THE SHOWROOM WILL BE PURCHASED BACK BY THE COMPANY AT THE PRICE CHARGED BY THE COMPANY.

16. THE AGREEMENT WILL BE VALID FOR THE PERIOD EQUAL TO THE VALIDITY PERIOD OF BANK GUARANTEE SUBMITTED BY THE PARTY OF THE 2ND PART.

17. THE WORKING WILL BE ON SIMPLE SALE PURCHASE BASIS AND CREDIT NOTES WILL BE ISSUED IN CASE OF ANY GOODS RETURN ON THE BASIS OF DEBIT NOTE RAISED BY THE PARTY OF 2ND PART AND SENT WITH THE RETURN DOCUMENTS AS PER THE PERFORMA BEING GIVEN BY THE COMPANY.

18. THE PARTY OF THE 2ND PART SHALL BE RESPONSIBLE FOR ALL TYPE OF PAYMENTS OF LOCAL TAXES AT ____________.

19. THE PARTY OF THE 2ND PART WILL RENEW THE BANK GURANTEE ONE MONTH BEFORE THE EXPIRY DATE OTHERWISE THE COMPANY MAY REVOKE THE BANK GUARANTEE.
