EMPLOYMENT CONTRACT AGREEMENT

BETWEEN MICHELIN TYRE PLC & THE EMPLOYEE

This Employment Contract agreement is made this ……... day of …………….2008, between Michelin tyre Plc, . & the Employee, Under the Employment Terms & Laws of the United Kingdom,

ARTICLE 1:
Michelin tyre Plc, desires to secure the services of a competent Employee to provide services and others as specified in this contract agreement.

1.1 Employee must have competence necessary for carrying out all the services, duties and obligations specified in this contract on the part of Employee to be assumed and performed and has agreed to carry out the same in accordance with the terms and conditions hereinafter set forth.

ARTICLE 2: CONTRACT PERIOD
The contract period shall be for Contract duration: The contract shall last for duration of (36) consecutive months; Three (3) years and could be renewed only if employer is satisfied with employee's services. This is with effect from the…………… of …………………. 2008


ARTICLE 3: FEES FOR SERVICES AND TERMS OF PAYMENTS

3.1 Michelin tyre Plc, shall pay Employee on satisfactory performance of the services stated in Article 1, the sum GBP 18, 300.00 (Eigtheen Thousnad And Three Hundred Pounds only) monthly take home Salary (after Tax) or Dollar equivalent depending on employee’s home country.

3.2 Michelin tyre Plc. shall pay for services rendered in Article 1. By cheque presenting on a monthly basis at the rate stated in Article 3.1.

3.3 Payments o[censored]ndisputed invoices will be made by Michelin tyre Plc, to the Employee monthly.

3.4 Michelin tyre Plc, shall pay all of the fees in Article 3.1 in GBP or Dollar equivalent depending on employee’s home country and shall pay 100% of the fees in the Employees Account.

STRICTLY FOR EXPATRIATE EMPLOYEES

(a) The employee will be sent a reasonable expenses fee to assist His/Her relocation (flight tickets) Immunizations, Luggage expenses etc. Payments shall be made before employees embark on journey not later than Five (5) working days after notifications on employee’s arrival date, after the acquisition of relevant traveling papers (Visa) through the Employees Home country.

(b) Employer shall take care of employees' Work/Resident permit papers, travel ticket including that of employees' family only on employees' early notification to employer and as shall be requested by employee after the confirmations from the attorney.


(c) Employer for each intercontinental trip shall pay GBP £1, 120.00 flat rate travel/entertainment allowance to employee. Travel shall be by business class/first class. However for the purpose of commencement, the cost of travel ticket shall be paid in addition to travel/entertainment allowance. Cost shall be substantiated and shall be the rate charged at the Period/time of purchase

(d) Every other expense shall be taking care of by Michelin tyre Plc, except personal service expenses the attorney shall be charging the employee for services rendered to the employee. 1). By Swearing Affidavit for the Employee Or Affidavits Of Job Guarantee.

(2). By representing the Employee in the Signing & Endorsement of the Original Hard Copy of the Employees Contract Documents with further endorsement by the British High Commission, United Kingdom, which will be sent to the Employee by the Attorney after the Endorsement.

3.5 COMFIRMED EMPLOYEES:
Confirmed employees are those employee’s that have successfully acquired their fully endorsed Contract Documents, duly certified by British High Commission in United Kingdom. Then they shall be entitled to article 3.0-3.4 above.

3.6 OTHER BENEFITS:

Phones: the employer will provide each employee with one (1) landline and one (1) mobile telephone. This shall have a reasonable credit limit per month.
Local transportation: Shall be fully provided for employee and family by employer.

Adequate private office space in a conducive and comfortable work environment shall be provided for each employee.

* Employees’ shall be authorized three (3) times paid vacation during the term of the contract, to be used at the employees ‘discretion after duly informing and receiving approval from the management of Michelin tyre Plc. Michelin tyre Plc, will pay for travel expenses (i.e. flight tickets) and flat rate travel allowance of £1, 120.00.


ARTICLE 4: GENERAL ADMINISTRATION AND MANAGEMENT/OTHER BENEFITS,

4.1 Unless otherwise stated in a superseding document, the Contract Administrator of Michelin tyre Plc, shall maintain general administration and management of the project and all progress reports should be addressed to Michelin tyre Plc, to Him/Her.

ARTICLE 5: ASSIGNMENT:

5.1 The CONTRACTOR shall not assign or transfer any or all of its rights, responsibilities or obligation under this Agreement without the prior written consent of Michelin tyre Plc, which consent shall not be unreasonably withheld. However, Michelin tyre Plc, shall be entitled without such consent, to assign the transfer of any or all of its rights, responsibilities, obligations and liabilities under this Agreement to any affiliate of Michelin tyre Plc or its co-ventured subject to prior written notification.

ARTICLE 6: INDEMNITY:
The Employee agrees to indemnify and hereby indemnifies Michelin tyre Plc, in respect of all claims arising from the performance of this contract,

ARTICLE 7: FORCE MAJEURE:

7.1 Not withstanding any thing herein stated, neither party should be considered in default in the performance of its obligations under this Agreement as a result of Force Majeure.

The term "Force Majeure" shall include but not limited to Act of Nature, War, Nation wide strike, Lockout, Riot and Civil commotion. A strike or Lockout embarked upon by only the Employee personally shall not be deemed to be included in this term,


7.2 If an interruption of work occurs as a result of "Force Majeure" for up to seven (7) days, 70% of the basic daily fees shall be paid as standby.

However, if such suspension results in Employee not being able to perform its duties for more than seven (7) days, then Michelin tyre Plc may at its option elect to continue the implementation of this Agreement at adjusted standby rates to be negotiated by Michelin tyre Plc to terminate the contract.

ARTICLE 8: TERMINATION:
8.1 This Agreement may be terminated:

(i) If the services stated in Article 1 and are not rendered satisfactorily.
(ii) If the duration of the Agreement stated in Article 2 expires and no extension has been given.
(iii) Under Force Majeure as stated in Article 7.0

ARTICLE 9: DEFAULT OF EMPLOYEE:

9.1 In the event of default or non-compliance by Employee with the terms and conditions of this Agreement, Michelin tyre Plc, shall give notice to Employee specifying areas of default and the Employee shall have ten (10) calendar Working days to rectify to Michelin tyre Plc, satisfaction, the said default(s). If Employee does not rectify to Michelin tyre Plc satisfaction, the said default(s) within ten (10) days of receipt of the notice, Michelin tyre Plc, may proceed with termination of this Agreement subject only to settlement of all payments due and outstanding at the time of termination.




ARTICLE 10: ADDRESSES FOR NOTICE:

All notices and other communication required to be given hereunder by one party to the other shall be in writing and shall be sufficiently given if sent by post, faxed or delivered by hand to the addresses hereunder.:
